This name, depending upon the business structure must be approved by the Office of Company Registrar or the Department of Industry or the local ward office in Nepal. Your chosen business name should be distinctive, avoiding any resemblance to existing companies or implying government affiliation. The uniqueness of the name is crucial to avoid legal complexities and establish a distinct brand identity. However, without registration of trademark, the approval or registration of business in the proposed name does not ensure legal protection and the authorities may require the change of name if it infringes the intellectual property rights of a registered trademark owner.

2. Preparing Documentation

Key Documents: The next step is to gather all necessary documents, including a comprehensive business plan, identification documents of the business owners, and the constitutional documents like memorandum and articles of incorporation in case of company, partnership deed in case of partnership firms etc.

Legal Compliance: Thereafter, it should be ensured that all documents align with Nepalese business laws and regulations to avoid any legal hurdles during the registration process.

3. Business/Company Registration

Filing Application: Submit the application for business registration to the concerned government authority. For example: in case of registration of sole proprietorship, the local ward office or municipality is the initial registering authority, while in case of a company (private limited, public limited and profit not distributing companies), the application for company registration along with the required documentation should be submitted to the Office of Company Registrar . Registering some forms of companies will also need prior approval e.g. to register companies with foreign investment, one will require the foreign investment approval from the Department of Industry or the Investment Board of Nepal or in case of a company providing payment related services (payment service providers and payment system operators), a letter of intent from the Nepal Rastra Bank is mandatory. 

Fees and Timeline: The promoters are also required to pay the stipulated registration fees. The processing time varies, so it’s essential to have a realistic timeline for this phase. Applications for company registrations can be filed online. 

4. Local Authority Registration

While sole proprietorship and partnership firms are registered at the local ward office or municipality where the business is proposed to be situated, the companies after completing the registration process at the Office of Company Registrar are required to register at the local ward office or municipality as per the location of their registered office. While applying for registration, the company is also required to furnish a lease agreement and will be required to pay rental tax in addition to the registration fee and other local charges.  

5. Obtaining a Permanent Account Number (PAN)

Application: The next step after completing the business registration process at the ward office is to apply for a PAN from the Inland Revenue Department , a critical step for tax compliance in Nepal. The application may be submitted online but one of the promoters is required to be physically present at the concerned tax office for completing the biometric registration of the contact person.

Importance: The PAN is mandatory for all businesses in Nepal, serving as a key identifier for tax purposes. Depending on the nature of business or the amount of turnover, registration for Value Added Tax (VAT) may also be required. However, there is no separate VAT registration number and the PAN serves as the single tax registration number in Nepal. 

6. Industry Registration/Business Registration at Department of Commerce

Businesses in Nepal are broadly classified into two categories: industry & commerce (trading). Industry includes all types of manufacturing and service based businesses and also includes various value addition related businesses while commerce includes all the other type of businesses typically involving the trading of goods. 

Company or business carrying out industry related activities are required to register their industry with the concerned authority i.e. Department of Industry or Provincial Department of Small & Cottage Industry depending on the size of the industry. However, companies with foreign investment are required to obtain industry registration from the Department of Industry irrespective of the size and capacity of the industry. 

Similarly, business or company carrying out trading related activities are required to obtain firm registration from the Department of Commerce, Supplies & Consumer Protection .  

7. Opening a Corporate Bank Account

Requirements: With your business/company officially registered and ready to operate after completing the above mandatory registration, the next step is to open a corporate bank account, presenting your registration documents, PAN, and other pertinent information.

Selection: Choose a bank that aligns with your business needs, offering relevant services and support.

8. Additional Business Licenses, Permits & Registration

Sector-Specific Requirements: Depending on your business sector, additional licenses or permits may be required. This is particularly relevant for sectors like manufacturing, import-export, or tourism. Businesses may also be required to obtain an export import code (generally known as the EXIM Code) from the Department of Customs . In addition, registering the intellectual properties including trademark, design, patents etc. is also extremely important as registration is a pre-requisite for legal protection of intellectual property rights in Nepal. And since Nepal follows a "first to file" system of registration and protection, applying for registration as early as possible is highly recommended especially in case of foreign IPs licensed or used in Nepal.

Emerging Start-ups In Nepal With a Bright Future in 2021

On November 11 this year, Foodmandu completed its 10th year of serving foodaholics of all kinds, across Kathmandu valley. In all this time, we have partnered with hundreds of restaurants and offered our services to hundreds of thousands of happy customers. Our journey, since our establishment in 2010 till today, has been a roller coaster ride. Keeping in mind everything that we’ve been through, we devised an exciting way to celebrate our 10th anniversary.

Now, though we are the most preferred choice when it comes to food delivery services currently, we had a very humble beginning. 10 years ago, we were just a startup, and we had to face every small and big challenge that a startup has to. We didn’t even imagine that we’d get this far. It brings smiles to our faces at the moment, realizing that we made it. On the occasion of our anniversary, we shared this joy with similar startups by partnering with them in various capacities.

Starting from November 11 till November 20, i.e. for 10 days, we featured 10 start-up businesses on our Foodmandu app . Since visibility is an attribute that any start-up thrives for, we hoped for these businesses, most of them, to benefit from it. The users of the Foodmandu app, on the other hand, could order the products and services offered by these businesses, through the app. Needless to say, it was quite an experience, for us and for our partners.

This is just the beginning of many more partnerships that we’re looking forward to in the days to come. There are going to be similar or even more astonishing surprises for our valued customers. And this initiative that we’ve taken to promote the freshly established startups is definitely going to continue beyond the duration of these 10 days, in the days to come. Here’s a brief insight into the 10 startup businesses we’re promoting to celebrate our 10th anniversary.

Tootle 

Started in January of 2017, Tootle is a popular ride-sharing app. It has proven to be one of the most lucrative businesses, bagging the award of the most promising startup, presented by Seedstars World in 2017 itself. Tootle is basically an app that connects bike riders with passengers willing to travel to a certain destination. The bike riders aren’t random people, as they’re required to go through a strict screening process to serve as one. Currently, there are around 4000 bike riders registered with Tootle, who serve a large user base of 20,000 to 30,000.

We partnered with Tootle during this 10 days period. They were also our on a ground partner, meaning that the trustworthy Tootle riders partnered with us to make our deliveries and surprised the lucky customers with exciting gifts and vouchers.

Sastodeal is a preferred online store, where you can buy all kinds of things. The company started in December 2011, with visionary people and a limited budget. They have gone through their fair share of struggles and challenges. Currently, it is one of the most successful eCommerce companies in Nepal, partnering with thousands of vendors and serving millions of customers. Sastodeal’s eCommerce site connects the sellers willing to sell various items and the interested buyers. Quite like the name of the company, the items are offered at an exciting and affordable price.

Just like Tootle, Sastodeal was also our on-ground partner. The credible delivery staff from Sastodeal associated with Foodmandu to execute a small number of food deliveries and surprised the lucky customers with various gifts and vouchers. It was quite an experience collaborating with them.

UG is probably one of the most preferred names, especially for individuals who love online shopping. They offer different products, and mainly cakes on their portal. The company doesn’t just prepare designer, beautiful looking cakes, but also delivers it at the doorstep of its customers. UG or Urban Girl started in 2012 as a one-stop solution for online shopping. They started working with cakes only in 2014. This remarkable business idea helped the owners bag the best startup of the year award in 2018.

We also partnered with UG to celebrate our 10th anniversary. They were our on-ground partner, and also our on app partner. This means that the users of Foodmandu were able to order UG Bazaar products from our app during this 10 days long duration. Also, quite like the former two, UG collaborated with us in the on-ground activation.

Braj Beauty 

Braj Beauty is yet another new and promising startup. They started offering their services in February 2020. They are the first business in Nepal to offer salon service to clients in the comfort of their homes. All that the customers need to do is download their app, and as per their suitable time, book the time and date for the services to be offered. The skilled beauticians of Braj Beauty offer you their services at an affordable price, and while doing so, they use good quality tools and cosmetics. Braj Beauty is a part of Brajeshwori Group.

During the celebration period of Foodmandu, the services of Braj Beauty could be booked from our official app. This made them our on app partner. Without a doubt, the idea of offering such services at home is an innovative and promising one.

Khaalisisi 

Foodmandu is proud to partner with Khaalisisi that doesn’t just have a profit motive towards establishing a startup, but also an objective to make the environment better. Khaalisisi partners with friends who help them collect recyclable items from households. Later, these items are either recycled into useful objects or reused, depending on their condition. As a customer, if you have a bunch of recyclable waste, all you need to do is book a date and time with Khaalisisi. On the said day and time, a Khaalisisi friend will appear at your doorstep to collect the waste.

The customers are benefited from this as they are paid for all the waste, and overall, it happens to be a friendlier way to manage these items. Khaalisisi was our on app partner, so, during this 10 days celebration period, the users of Foodmandu could buy Khaalisisi’s recycled products through the app.

Cotton Mills Nepal

Cotton Mills Nepal is another startup that looks beyond economical gain and into environmental friendliness. The business produces items such as cushion covers, bedsheets, drapes, and so many others using 100% natural fiber. The business is a sustainable one and is run by local community women. The business was set up in 2011 by two sisters. Their objective wasn’t just to produce cotton products but also to introduce fashion, aesthetics, and luxury into it, and at the same time, use and share the ancient art of hand printing.

Cotton Mills Nepal was also one of our on app partners, and so, you could order all their featured products through the Foodmandu app. The service was made available to mark our 10 year anniversary, and our valued users could take the benefit only for a duration of 10 days.

Kitab Yatra 

Kitab Yatra is another startup that doesn’t need much introduction. The business kicked off in 2017 with an objective to develop healthy reading habits in people, by making books from all genres available to them. Their motive is also to create an environment where book reading is valued. Kitab Yatra is simply an online store featuring books at affordable rates, and the customers could buy them by visiting their website. Thanks to the search mechanism, it’s a simple process to sort through the huge array of books showcased on their website.

On the 10th year anniversary of Foodmandu, the users of the app were able to order the books of Kitab Yatra from Foodmandu itself. The business was one of our on app partners during the 10 days celebration duration, and so, this facility was available only for a limited period.

Sajilo Marmat Sewa 

Safilo Marmat Sewa has made things quite convenient for homeowners, or anyone who is in need of handyman services, by making them easily available. The idea is to simply contact Sajilo Marmat Sewa, and fix a date and time with them. On the said day and time, handymen will appear at your doorstep in order to solve the problem, like electrical, plumbing, and so on, you’re facing. The thought to start a venture as such took shape during a class at Kathmandu University. The entrepreneurs who’ve started a business are a bunch of KU graduates.

For the duration of 10 days, you could book the services of Sajilo Marmat Sewa through the Foodmandu app. They were our on app partners for the 10-year celebration of the establishment of Foodmandu. We are proud to have featured the company on our app.

Helmets Nepal 

Helmets Nepal introduces itself as a one-stop solution for bike lovers, especially the ones who are looking to buy helmets and safety gear. Initiated by a bunch of young and dynamic individuals, Helmets Nepal exists in the form of a physical and as well as an online store. Through their eCommerce website, you could order their products online. The products featured at Helmets Nepal aren’t just top-notch when it comes to safety, but also, they’re quite fashionable. They are quite a hit among bike riders. In their own words, they sell fashion with protection.

On the 10th anniversary of Foodmandu, we had Helmets Nepal as one of our on app partners. So, quite like the businesses above, you could order their products as well from the Foodmandu app for a limited duration, i.e. for a period of 10 days.

Studio Sarcastic

Studio Sarcastic has managed to gain quite a popularity among the youths. They offer a range of lifestyle products like mugs, bookmarks, posters, phone cases, and so on; all of them designed to fit the customers’ attitude. Apart from offering these items, they also help businesses with services such as promotional material design, events, marketing, and so on. The startup was started by a group of creative individuals, who take pride in producing items that stand apart when it comes to aesthetics. Their products can be bought online or from their physical store. Studio Sarcastic was another app partner of Foodmandu. You could order their products and services from the app for a limited duration of 10 days. They were featured as our partner as a part of the promotional campaign to mark the 10 year anniversary of Foodmandu.

The idea behind starting a movement like this was not only to build a collaborative environment for new or upcoming startups but also to show support for one another and help other startups grow to their full potential. 

Our idea to start a movement like this wouldn’t have materialized had it not been for the startup brands’ cooperation and efforts. Most importantly, our customers and the users of the Foodmandu app, are the real heroes here. As a matter of fact, without our valued clients and well-wishers, we wouldn’t be where we are today.

This long journey that we’ve covered seemed impossible 10 years ago, and at this moment, what lies ahead of us, 10 years into the future, seems unfathomable. If there is one thing that’s certain, it’s a simple fact that our relentless efforts in this sector will continue. We look forward to further refine our services, and come up with interesting initiatives as such, with the objectives of benefitting our customers and giving back to the community. Here’s to 10 more years of Foodmandu!

Nine states are planning to ban new gasoline-powered vehicle sales by 2035 as part of an initiative to cut climate-warming emissions.

The Advanced Clean Cars II rules originated in California with the state Air Resources Board. The regulations in California look to phase out the sale of new gas vehicles beginning with the 2026 model year, scaling back over time until 2035 – when a total ban on the sales will go into effect.

Since the rules were first adopted in California in 2022, eight other states have followed suit, with several others considering the plan.

So far, the other states that have implemented the plan to hit the goal of selling zero new gas-powered vehicles by 2035 include Washington, Oregon, New York, New Jersey, Rhode Island, Massachusetts, Delaware and Maryland.

The rules do not stop residents in these states from owning or using gas-powered cars, nor do they force consumers to buy electric vehicles (EVs). Dealerships can still sell used cars powered by gas, and consumers in these states can purchase the gas-powered vehicles in other states – as long as they meet certain emissions standards. 

Not everyone, however, supports this effort.

The New Jersey Business and Industry Association (NJBIA) led a campaign last year to try and stop New Jersey's adoption of the Advanced Clean Cars II rule.

Ray Cantor, the chief deputy government affairs officer at the NJBIA, told Fox News Digital in a statement that the plan ignores the cost to consumers and lack of current infrastructure.

"The ban on new gas-powered cars in such an expedited time does not take costs or feasibility into account," Cantor said. "It does not take the lack of local and highway infrastructure into account. It does not take grid capacity into account. It ignores consumer choice. It doesn’t take New Jersey residents into account, especially low- and moderate-income families. And it doesn’t take the lack of actual environmental benefit into account."

Cantor urged New Jersey to "apply the brakes" to what he called an obvious "bureaucratic overreach" before the mandate starts to affect consumers.

"There's nothing wrong with working to reduce carbon emissions," Cantor said. "And the marketplace would have likely seen a natural increase of EV users with an organic time frame to build appropriate capacities. But the near-term, targeted mandates will increase the prices of both new and used gas-powered cars."

In support of the action, Rhode Island Department of Environmental Management Director Terry Gray has called the rules a "major step" in the fight against climate change in the transportation sector.

"In terms of economic impact, states joining together to send a clear signal to the market will result in greater economies of scale, driving down the prices of ZEVs (zero-emission vehicles), and ensuring that Rhode Island dealers and customers have full access to electric vehicles," Gray said.

The rules come as the Biden administration has sought to push the transportation sector from gas-powered vehicles to EVs as part of its climate agenda.

Last year, the  Environmental Protection Agency (EPA)  unveiled its own plan to increase vehicle pollution standards that will impact car model years 2027 through 2032. 

If the EPA’s regulations are finalized, a staggering 67% of new sedan, crossover, SUV and light truck purchases could be electric by 2032, the White House projected. A deadly Boeing 737 crash in China is still shrouded in mystery as the government says it found nothing abnormal before the plane nose-dived

Chinese authorities say they've yet to identify the cause of a Boeing 737 crash that killed 132 people two years ago, reporting that investigators found nothing abnormal occurring before the fatal incident.

The report, published Wednesday by the Civil Aviation Administration of China , covers the government probe into the crash of flight MU5735 , which was operated by China Eastern Airlines.

Everything was working normally before the crash, including the aircraft, the facilities and equipment used, air traffic communication, and weather reports, the report said. Staff also kept to their rest hours, the report added.

"Before takeoff, no faults or abnormalities were found in the aircraft systems, airframe structure, engines, etc.," the report said.

Its findings come as questions remain over whether the crash may have been caused by a pilot or someone else on the plane, whether intentionally or in error.

The civil aviation report said authorities would continue to investigate the case.

The plane is believed to have nose-dived right before the crash on March 21, 2022, in the Guangxi Zhuang autonomous region, plunging from high altitude in a "near-vertical descent," The Wall Street Journal reported in May, citing a US assessment of flight-recorder data.

"The plane did what it was told to do by someone in the cockpit," an anonymous source familiar with the US assessment told the outlet.

Bloomberg reported shortly after the crash, citing flight tracker data, that the plane hit the ground while traveling near the speed of sound.

FlightRadar24 , a website that provides tracking data to the public, wrote in a blog post that MU5735 had descended rapidly from 29,000 feet before reaching roughly 7,400 feet.

It then started climbing to about 8,600 feet before diving again, this time into the mountains of Teng County, the blog said.

Nine crew and 123 passengers were on board the afternoon flight from Kunming to Guangzhou, all of whom perished.

Local media coverage of the crash that year focused mainly on rescue efforts, calls by the authorities to probe the incident, and the victims, veering away from questions about the cause of the crash.

One young family was traveling on the flight so their infant daughter could receive medical treatment , and it was their first time flying, local media reported.

Chinese authorities denied that the crash was intentionally caused.

The CAAC has said that such rumors had "gravely misled the public" and "interfered with the investigation of the accident," per Reuters.

But the investigation update from Wednesday, which mostly repeated points previously made by Chinese authorities, has fueled further speculation on social media that foul play was involved.

"Everything is normal, which means that it is either caused by someone on board or caused by a sudden uncontrollable external force!" wrote one commenter on state media coverage of the report on Weibo, China's version of X.

"Isn't the case closed if you just release the data in the black box? Is it so difficult to announce the truth?" wrote one blogger.

When asked to comment on the report, a Boeing spokesperson referred BI to the Civil Aviation Administration of China.

China Eastern Airlines did not immediately respond to a request for comment sent by Business Insider.

How a New Rule Could Change the Way Advisers Handle Your Retirement Money

The Labor Department’s latest push for a new fiduciary rule would protect investors’ retirement savings and require financial services providers to change.

It seems like an issue everyone can agree on: Financial professionals should be required to handle our retirement money with the utmost care, putting investors’ interests first.

But that type of care comes in degrees, and deciding exactly how far advisers should go has been the center of heated debate for nearly 15 years, pitting financial industry stakeholders, who argue their existing regulatory framework is enough, against the U.S. Labor Department, the retirement plan regulator, which says there are gaping holes.

The issue has re-emerged as the department prepares to release a final rule that would require more financial professionals to act as fiduciaries — that is, they’d be held to the highest standard, across the investment landscape, when providing advice on retirement money held or destined for tax-advantaged accounts, like individual retirement accounts.

Most retirement plan administrators who oversee the trillions of dollars held in 401(k) plans are already held to this standard, part of a 1974 law known as ERISA, which was established to oversee private pension plans before 401(k)s existed. But it doesn’t generally apply, for example, when workers roll over their pile of money into an I.R.A. when they leave a job or retire from the work force. Nearly 5.7 million people rolled $620 billion into I.R.A.s in 2020, according to the latest Internal Revenue Service data.

The Biden administration’s final regulation, which will be released this spring, is expected to change that and patch other gaps: Investment professionals selling retirement plans and recommending investment menus to businesses would also be held to its fiduciary standard, as would professionals selling annuities inside retirement accounts.

“It shouldn’t matter whether you’re getting advice on an annuity, any kind of annuity, a security — if it’s advice about your retirement, that should have a high standard that applies across the board,” said Ali Khawar, the Labor Department’s principal deputy assistant secretary of the Employee Benefits Security Administration.

The evolution of brokers’ and advisers’ duties to American investors stretches back decades. But the journey to extend more stringent protections over investors’ retirement money began during the Obama administration, which issued a rule in 2016 that was halted shortly after President Donald J. Trump took office and was never fully enacted : It was struck down in 2018 by an appeals court in the Fifth Circuit. That rule went further than the current one — it required financial firms to enter contracts with customers, which allowed them to sue, something the court argued went too far.

The Biden administration’s plan — and the final rule could differ from the initial October proposal — would require more financial professionals to act as gold-standard fiduciaries when they’re making an investment recommendation or providing advice for compensation, at least when holding themselves out as trusted professionals.

The standard also kicks into play when advisers call themselves fiduciaries, or if they control or manage someone else’s money.

As it stands, it is much easier to avoid fiduciary status under the ERISA retirement law. Investment professionals must meet a five-part test before they are held to that standard, and one component states that professionals must provide advice on a regular basis. This means that if an investment professional makes a one-time recommendation, that person is off the hook — even if the advice was to roll over someone’s lifetime savings.

Though investor protections have improved in recent years, there isn’t a universal standard for all advisers, investment products and accounts.

The varying “best interest” standards can be dizzying: Registered investment advisers are fiduciaries under the 1940 law that regulates them, but even their duty isn’t viewed as quite as stringent as an ERISA fiduciary. Professionals at brokerage firms may be registered investment advisers, to whom the 1940 fiduciary standard applies — or registered representatives , to whom it does not. In that case, they’re generally held to the Securities and Exchange Commission’s best interest standard. Confused? There’s more.

Annuity sellers are largely regulated by the state insurance commissioners, but legal experts say their best interest code of conduct, adopted in 45 states , is a weaker version than the one for investment brokers. Variable annuity and other products, however, fall within the domains of both the S.E.C. and the states.

Stakeholders in the financial services and annuities industries say the current standards that apply are enough. This includes Regulation Best Interest , enacted by the S.E.C. in 2019, which requires brokers to act in their customers’ best interests when making securities recommendations to retail customers. They argue that the more stringent ERISA standard would cause customers to lose access to advice (though comprehensive lower-cost advice from fiduciaries has become more accessible in recent years).

The S.E.C.’s adoption of Regulation Best Interest “requires all financial professionals subject to the S.E.C.’s jurisdiction to put their clients’ interest first — to not make recommendations that line their own pockets at the expense of their client,” said Jason Berkowitz, chief legal and regulatory affairs officer at the Insured Retirement Institute, an industry group , during a House hearing about the rule in January.

But there is enough of a difference between the different best interest standards and ERISA fiduciary status that firms take pains to make disclosures on their websites that they aren’t that kind of fiduciary.

On its website, Janney Montgomery Scott, a financial services firm in Philadelphia, said fiduciary status was “highly technical” when it came to retirement and other qualified accounts and depended on the services chosen. “Unless we agree in writing, we do not act as a ‘fiduciary’ under the retirement laws,” the firm said, referring to ERISA, “including when we have a ‘best interest’ or ‘fiduciary’ obligation under other federal or state laws.”

“It would be unreasonable to expect ordinary retirement investors to understand the implications of these disclosures,” said Micah Hauptman, director of the Consumer Federation of America, a nonprofit consumer association.

Under the latest proposal, fiduciaries must avoid conflicts of interest. That means they can’t provide advice that affects their compensation, unless they meet certain conditions to ensure investors are protected — that includes putting policies in place to mitigate those conflicts. Disclosing conflicts alone isn’t enough, department officials said.

“Our statute is very anti-conflict in its DNA,” Mr. Khawar of the Labor Department said. “There are ways that we’re going to expect you to behave to ensure that the conflict doesn’t drive the decision that you make.”

Kamila Elliott, the founder and chief executive of Collective Wealth Partners , a financial planning firm in Atlanta whose clients include middle-income to high-earning Black households, testified at a congressional hearing in favor of the so-called retirement security rule. Ms. Elliott, who is also a certified financial planner, said she had seen the effects of inappropriate advice through her clients, who came to her after working with annuity and insurance brokers.

One client was sold a fixed annuity in a one-time transaction when she was 48. She invested most of her retirement money into the product, which had an interest rate of less than 2.5 percent and a surrender period of seven years. If she wanted to allocate any of that money in the market, which Ms. Elliott felt was more appropriate for her age and circumstances, she would owe a penalty of more than 60 percent of her retirement assets.

“A one-time and irrevocable decision as to whether and how to roll over employer-sponsored retirement assets may be the single most important decision a retirement investor will ever make,” she said before a House committee in January.

Another client who had just $10,000 in an individual retirement account was sold a whole life insurance policy with an annual premium of $20,000 — something most average investors cannot keep up with, causing them to lose the policies before they can benefit from them.

“For many investors, it would not be wise to put your entire retirement portfolio in an insurance product,” she said.

Jason C. Roberts, chief executive of the Pension Resource Institute, a consulting firm for banks, brokerage and advisory firms, said he expected that financial services providers would need to change certain policies to adhere to the new rule, such as making the compensation more level across products, so advisers would not be paid more for making certain recommendations, and curb certain sales incentives and contests.

“It’s really going to hit the broker-dealers,” he said, adding that parts of the annuity industry may be more affected.

Labor Department officials said they took industry stakeholder and other comments into consideration when drafting the final rule, though they declined to provide details.

After the White House’ s Office of Management and Budget completes its review of the final rule, it could be published as soon as next month.

Given the rule’s history, that may not be the end of the road. Legal challenges are expected, but fiduciary experts say regulators devised the rule with that in mind.

Arthur B. Laby, vice dean and professor at Rutgers Law School, said the court that voided the Obama-era rule did not recognize the societal changes that had affected the market for retirement advice.

In her opinion on behalf of the majority, the judge argued that when Congress enacted ERISA — in 1974 — it was well aware of the differences between investment advisers, who are fiduciaries, and stockbrokers and insurance agents, who “generally assumed no such status in selling products to clients.” That’s why, in part, the court argued fiduciary status shouldn’t apply to brokers now.

But times have changed. “Today,” Mr. Laby said, “many brokers function as advisers through and through.”

The latest proposal acknowledges that: If a professional making a recommendation can be viewed as someone with whom an investor has a relationship of trust and confidence — whether a broker or an insurance agent — that person would be considered a fiduciary.

“A relationship of trust, vulnerability and reliance,” Mr. Laby said, “calls for the protections afforded by a fiduciary duty. ”
