This type of agreement is popular in construction and real estate. A "Contract Assignment" means that the assignee complies with all the duties established in the original contract and receives benefits that should have gone to the assignor for an assignment fee.

  • Find a party that is willing to become an assignee - it can be an individual or, more likely, an entity to which you will delegate your rights and obligations under the original contract. For example, an IP Assignment Agreement allows the transfer of ownership of any intellectual property from the employee (the creator or inventor) to the employer when this intellectual property was created in the scope of the employment. This document should indicate the consideration paid by the assignee.
  • Before you start preparing an Assignment Agreement, read the original contract thoroughly and make sure it does not specifically prohibit the use of the assignment - some agreements include a non-assignment clause that will automatically make your supplemental contract invalid. It is also recommended to contact the other party to the original agreement and obtain their explicit permission to assign rights and responsibilities in order to avoid potential misunderstandings in the future.
  • Identify the person or company that hands over contractual obligations and their recipient. You must also name the party to the original contract - the obligor. When you compose a Lease Assignment Agreement to transfer the interest in the lease from one tenant to another, you need to name the original tenant, new tenant, and the landlord.
  • Describe the original contract and add its expiration date . You may list the obligations the assignee has to fulfill if the assignor, for instance, has already performed most of the responsibilities.
  • State when the Assignment Agreement goes into effect.
  • Specify the assignment fee.
  • Sign and date the document. It can be signed by the obligor to confirm they are not against the assignment if the original contract is vague about this particular condition. You can also obtain a notarization for this agreement to add an extra layer of protection to it.

The assignment fee - a sum of money that compensates the assignor for the rights given up in the contract - is required when you assign property, cash, and other assets to the assignee. The fee amount depends on the type and value of the subject matter of the contract. An assignment fee can be calculated as a percentage of the value (typically, it is between 1% and 5%) or you can agree on a set amount when signing the contract. A Debt Assignment and Assumption Agreement is a very simple document whereby one party assigns their debt to another party, and the other party agrees to take that debt on. The party that is assigning the debt is the original debtor; they are called the assignor. The party that is assuming the debt is the new debtor; they are called the assignee.

The debt is owed to a creditor.

This document is different than a Debt Settlement Agreement , because there, the original debtor has paid back all of the debt and is now free and clear. Here, the debt still stands, but it will just be owed to the creditor by another party.

This is also different than a Debt Acknowledgment Form , because there, the original debtor is simply signing a document acknowledging their debt.

How to use this document

This document is extremely short and to-the-point. It contains just the identities of the parties, the terms of the debt, the debt amount, and the signatures. It is auto-populated with some important contract terms to make this a complete agreement.

When this document is filled out, it should be printed, signed by the assignor and the creditor, and then signed by the assignee in front of a notary. It is important to have the assignee's signature notarized, because that is the party that is taking on the debt.

Understanding the nuances between agreements and contracts is crucial in the legal realm, focusing on enforceability and formality.

The differences between a contract and an agreement, like most considerations in the legal sphere, come down to the particulars of the language and intent surrounding the parties involved. In short, a contract is definitionally a type of agreement, but not all agreements rise to the level of a legally binding, enforceable contract.

Below, we will explore some of the elements that constitute both of these legal concepts and provide some context for their drafting as well as some examples of how they work. Both contracts and agreements have an important role in the day-to-day business dealings of individuals and companies around the country, and understanding their usefulness is critical for both the business and legal communities.

Key differences between agreement and contract

An agreement and a contract share the fundamental purpose of establishing mutual obligations between parties, yet they differ in their legal implications and formalities. Essentially, a contract is a more stringent form of agreement, embodying legal consequences and enforceable rights and obligations, whereas an agreement encompasses a broader spectrum of informal understandings.

Both involve the meeting of minds and exchange of promises, but a contract typically entails a more formalized arrangement, often documented in writing, and carries legal enforceability.

Conversely, an agreement can be informal and may not always be legally binding. While contracts require elements such as consideration, legality, capacity, and mutual assent to be legally valid, agreements may lack such requirements.

What is an agreement?

On the other hand, an agreement is a similarly engineered deal between parties with a common interest, but it does not rise to the same level of legal enforceability that a contract does. As such, an agreement is simply the “manifestation of mutual assent by two or more persons to one another.” This “meeting of the minds” indicates common intentions and is expressed through an offer and an acceptance.

Agreements can be shown with words, and actions can even be indicated in some instances with silence. While agreements are often lumped with contracts colloquially, an agreement generally lacks definitive elements like “consideration,” in order to rise to that level.

Further, different jurisdictions will treat and adjudicate agreements slightly differently. In the state of Washington, an agreement does not carry the same legal implications as a contract, but in Pennsylvania, an agreement can, in fact, be enforced with the same force as a contract if “the parties intend to enter into a binding agreement.” Muddying the water even more, California law distinguishes between a “final agreement” and an “agreement to agree,” which is dependent on the parties’ intent.

What are some examples of agreements? 

There are many types of contracts and relationships that necessitate some form of agreement. Two common forms of such agreements are the Master Service Agreement (MSA) and the Statement of Work (SoW) .

Generally, MSAs are broad, foundational contract arrangements that delineate the scope of a relationship between entities conducting business together. On the other hand, an SoW lays out the specific expectations and timelines governing a given project. As such, the SoW is a very useful tool for businesses, individuals, and municipalities hoping to develop effective working relationships with one another. Oftentimes, an SoW is drafted when parties have a desire to collaborate on the mutual completion of a goal or project.

Another popular form of this type of arrangement is the “indemnity agreement.” An i ndemnity agreement is “an arrangement whereby one party agrees to pay the other party for any damages regardless of who is at fault.” Indemnity agreements are similar to a “hold harmless agreement,” which is aimed at ensuring a given party is not held for liability “arising out of the indemnitor’s negligent act or omission,” the university adds.

In instances when one party means to limit the extent of what information another party can disclose, they might draft a “ confidentiality agreement ” or a “ non-disclosure agreement (NDA) .” These agreements are used to stunt the improper, unauthorized disclosure of a piece of information.

What is a contract?

A contract is a formal, legally binding agreement made between two parties with a common interest in mind. This creates “mutual obligations that are enforceable by law.”

In nearly all cases when a contract is formed, the arrangement begins with an offer and then several other key elements must be satisfied to codify the contract. Some examples of common contracts are:

  • Mortgage agreements
  • Lease agreements
  • Online purchases
  • Sign-up agreements
  • Promissory notes

When does an agreement become a contract?

As mentioned above, the distinction between a contract and an agreement generally lies with the ingredients. In order to elevate most agreements into legally enforceable contracts, certain elements must be present. Some of the elements required for a contract overlap with that of an agreement, however, a contract agreement will almost always need some form of “consideration” in order to withstand legal scrutiny.

The key elements of a contract are Offer , Acceptance , Awareness , Consideration , Capacity , and Legality .

  • Offer – One party promising to do something, or conversely, promising to refrain from doing a particular action which could be in the form of a written contract
  • Acceptance – The unambiguous nature by which an agreement is solidified. This may be done verbally, or through performance or deed
  • Awareness – Both parties acknowledge the contract agreement exists
  • Consideration – When something of value is offered in exchange for the above-stated action or inaction; the value that induces the parties to enter into the contract
  • Capacity – Individuals must have the ability to reasonably have a mutual understanding of what entering a contract agreement means; individuals compromised by, for example, alcohol, may be found to lack capacity with respect to contract law
  • Legality – Valid contracts must fall in line with existing laws

Final words

An agreement is often more informal than a contract and often serves as the precursor to a legally enforceable contract. It’s crucial to have one in case of arbitration, litigation , or a breach of contract.

Generally, a contract is a legally binding agreement made between two parties with a common interest in mind. On the other hand, an agreement is a similarly engineered deal between parties but usually does not rise to the same level of legal enforceability as a contract does.

WASHINGTON ― With the April 15 filing deadline approaching, the Internal Revenue Service encourages taxpayers who may find it difficult to gather the necessary documents they need to file or pay the taxes they owe to consider several options offered on IRS.gov to avoid late filing and interest penalties.

This is the last in a four-part series called the Tax Time Guide , a resource to help taxpayers file an accurate tax return. As taxpayers approach the April 15 deadline, those who owe taxes can benefit from knowing their options.

Eligible individuals and families who earned $79,000 or less in 2023 can use IRS Free File on IRS.gov, to electronically file their taxes. But all taxpayers, regardless of income, who need more time to file a return can use IRS Free File as an easy and quick way to electronically file for a six-month extension before April 15, 2024. An extension will help to avoid penalties and interest for failing to file on time , and gives taxpayers until Oct. 15, 2024, to file. However, they still must pay what they owe by the April 15 deadline.

Except for eligible victims of recent natural disasters who have until Oct. 15 to make tax payments, taxpayers who can’t pay the full amount of taxes they owe by April 15 should file and pay what they can to reduce total penalties and interest.

There are multiple ways to make electronic payments and there are options for a payment plan or an agreement with the IRS.

IRS Online Account

An IRS Online Account provides taxpayers access to important information when preparing to file a tax return, pay a balance or follow up on notices. Taxpayers can view their information online including:

  • Adjusted Gross Income.
  • Payment history and any scheduled or pending payments.
  • Payment plan details.
  • Digital copies of select notices from the IRS.

Taxpayers can also use their Online Account to securely make a same-day payment for an outstanding 2023 tax balance, pay quarterly estimated taxes for the 2024 tax season or request an extension to file a 2023 return.

Interest and a late payment penalty will apply to any payments made after April 15. Making a payment, even a partial payment, will help limit penalty and interest charges.

Other electronic options

Direct Pay, available at IRS.gov, is the fastest, easiest way to make a one-time payment without signing into an IRS Online Account.

  • Direct Pay : Direct Pay is free and allows taxpayers to securely pay their taxes directly from their checking or savings account without any fees or registration. Taxpayers can schedule payments up to 365 days in advance. After submitting a payment through Direct Pay, taxpayers will receive immediate confirmation.  
  • IRS2Go mobile app : IRS2Go is the official mobile app of the IRS. Taxpayers can check their refund status, make a payment, find free tax preparation assistance, sign up for helpful tax tips and more. IRS2Go is available in both English and Spanish.  
  • Electronic Funds Withdrawal (EFW) : This option allows taxpayers to file and pay electronically from their bank account when using tax preparation software or a tax professional. This option is free and only available when electronically filing a tax return.  
  • Electronic Federal Tax Payment System : This free service gives taxpayers a safe, convenient way to pay individual and business taxes by phone or online. To enroll and for more information, taxpayers can call 800-555-4477 or visit eftps.gov .  
  • Debit or credit card and digital wallet : Individuals can pay online, by phone or with a mobile device through any of the authorized payment processors. Processors do charge a fee to use these services. The IRS doesn’t receive any fees for these payments. Authorized card processors and phone numbers are available at IRS.gov/payments .

Other payment options

  • Cash: For taxpayers who prefer to pay in cash, the IRS offers a way to pay taxes at one of its many retail partners. The IRS urges taxpayers choosing this option to start early because it involves a four-step process. Details, including answers to frequently asked questions, are at IRS.gov/paywithcash .
  • “2023 Form 1040”.
  • Daytime phone number.
  • Social Security number.

Help for taxpayers who cannot pay in full

The IRS encourages taxpayers who cannot pay in full to pay what they can and consider a variety of payment options available for the remaining balance including getting a loan to pay the amount due. In many cases, loan costs may be lower than the combination of interest and penalties that the IRS must charge under federal law. Taxpayers should act as quickly as possible and are urged not to wait to respond to a notice: Tax bills accumulate more interest and fees the longer they remain unpaid. Online self-service payment plans

Most individual taxpayers qualify for a payment plan and can use Online Payment Agreement to set up a payment plan (including an installment agreement) to pay off an outstanding balance over time.

Once the online application is complete, the taxpayer receives immediate notification of whether their payment plan has been approved. Taxpayers can setup a plan using the Online Payment Agreement in a matter of minutes. There’s no paperwork and no need to call, write or visit the IRS. Setup fees may apply for some types of plans.

Online payment plan options for individual taxpayers include:

  • Short-term payment plan – The total balance owed is less than $100,000 in combined tax, penalties and interest. Additional time of up to 180 days to pay the balance in full.
  • Long-term payment plan (installment agreement) – The total balance owed is less than $50,000 in combined tax, penalties and interest. Pay in monthly payments for up to 72 months. Payments may be set up using direct debit (automatic bank withdraw) which eliminates the need to send in a payment each month, saving postage costs and reducing the chance of default. For balances between $25,000 and $50,000, direct debit is required.

Qualified taxpayers with existing payment plans may be able to use the Online Payment Agreement to make changes including revising payment dates, payment amounts or bank information for payments made by direct debit. Go to Online Payment Agreement for more information.

Though interest and late-payment penalties continue to accrue on any unpaid taxes after April 15, the failure to pay tax penalty rate is cut in half while an installment agreement is in effect. Taxpayers struggling to meet their tax obligation may also consider these additional payment options:

  • Offer in Compromise – Certain taxpayers qualify to settle their tax liabilities for less than the total amount they owe by submitting an Offer in Compromise. To help determine their eligibility, they can use the Offer in Compromise Pre-Qualifier tool .
  • Temporary delay of collection – Taxpayers can contact the IRS to request a temporary delay of the collection process. If the IRS determines a taxpayer is unable to pay, it may delay collection until the taxpayer’s financial condition improves. Penalties and interest continue to accrue until the full amount is paid.
  • Other payment plan options – Taxpayers who do not qualify for online self-service should contact the IRS using the phone number or address on their most recent notice for other payment plan options. For individuals and out-of-business sole proprietors who are already working with IRS Campus Collection and who owe $250,000 or less, one available option is to propose a monthly payment that will pay the balance over the length of the Collection Statute (usually 10 years). These payment plans don’t require a financial statement, but they do require a determination for the filing of a Notice of Federal Tax Lien.
